Upon termination of the Terms, any provision which, by its nature or express terms should survive, will survive such termination or expiration, including, but not limited to, Sections 8 through 17. Any license to User Content granted by you herein shall continue in effect subject to the terms of the applicable license.
16. Governing Law and Jurisdiction
The Terms are governed by the laws of the State of California without giving effect to any principles of conflicts of law. You hereby irrevocably consent and submit to the personal and exclusive jurisdiction and venue of the state and federal courts located in San Francisco, California.
The Terms express the complete understanding of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous communications and agreements, written or oral, regarding this Site. If any provision of the Terms or portion thereof is held invalid or unenforceable, such provision or portion thereof shall be deemed severed, and the remainder of the Terms shall remain in full force and effect. The failure by OCMA to insist upon or enforce strict performance of any provision of the Terms by you or others will not be construed as a waiver of any provision or right of OCMA. The Terms, and any rights and licenses granted hereunder, may not be assigned or transferred by you, but may be assigned by OCMA without restriction. Any assignment attempted to be made in violation of the Terms shall be void. Section headings used in this document are for convenience only and do not have any legal effect.
